Franchise Agreements and Covenants Not To Compete

By Lance Winslow When there is a dispute in a franchise agreement between a franchisor and a franchisee, often the franchisee will assume that they may merely stop paying royalties, change the name on the sign of their franchised outlet and immediately go into competition with the franchisor. It is one of the most common legal disputes and franchisee today. Therefore each and every franchisor must be careful to protect their proprietary knowledge and know-how with covenants not to compete in their franchisee agreements. In my franchisee company I had determined that this was the most single important issue in the entire franchise agreement. Below you will find a clause called covenants not to compete that I inserted in every franchise agreement; 3.20 Covenants Not To Compete Franchisee specifically acknowledges that, pursuant to the Franchise Agreement, Franchisee will receive valuable specialized and confidential information, including information regarding the operational, sales, promotional and marketing methods and techniques of Franchisors and the System. Franchisee agrees not to copy, download to internet, intranet, modem, fax, e-mail, mail or send any confidential material or divulge any material directly or indirectly to any other person or enterprise outside of this System. Franchisees agree that, during the term of the Franchise Agreement, except as otherwise approved in writing by Franchisor, Franchisee must not, either directly or indirectly, divert or attempt to divert any business to any competitor, by direct or indirect inducement or otherwise, or do or perform, directly or indirectly, any other act injurious or prejudicial to the goodwill associated with the Franchisors proprietary marks and System. Franchisee specifically agrees that, except as otherwise approved in writing by Franchisor, Franchisee will not, during the term of the Franchise Agreement and for a continuous uninterrupted two (2) year period commencing upon the expiration or termination of the Franchise Agreement, regardless of the cause of termination, either directly or indirectly for Franchisee or on behalf of or in conjunction with any other person, partnership, corporation or limited liability company, own, maintain, engage in, participate in or have any interest in the operation of any business that offers products, that are essentially the same as, or substantially similar to, the products, Core Services or Optional Services that are part of The Car Wash Guys or the WASH GUY.COM System, a predecessor, sister or co-branding company of Franchisors except other franchises offered by Franchisor (any business carrying on such activities, being called a Competing Business) which is, or is intended to be, located anywhere in the country of the Franchisees Marketing Area. Franchisee specifically agrees not to compete with any other franchisees or establish customers in franchisees respective Marketing Areas or within thirty-five (35) miles for two (2) years from expiration or termination of the Franchise Agreement. These covenants against competition will not apply to ownership by Franchisee of less than a five percent (5%) beneficial interest in the outstanding equity securities of any publicly held corporation even if that corporation is in competition with Franchisor. Franchisee specifically agrees that during the term of the Franchise Agreement and for a continuous uninterrupted two (2) year period commencing upon the expiration or termination of the Franchise Agreement, regardless of the cause of termination, Franchisee will not, either directly or indirectly, on Franchisees own behalf or in the service or on behalf of others, solicit, divert, or hire away, or attempt to solicit, divert, or hire away, to the Franchised Business or any Competing Business, any person employed by the Franchisor, whether or not such employee is a full-time or temporary employee of the Franchisor, whether or not such employment was pursuant to written agreement and whether or not such mployment was for a determined period or was at will. Similarly, Franchisee will not solicit, divert, or hire away, or attempt to solicit, divert, or hire away, to the Franchised Business or any Competing Business, any such employee of any licensee or Franchisee of the Franchisor, without the prior written consent of such licensee or Franchisee. Franchisee expressly agrees that the existence of any claims Franchisee may have will not constitute a defense to the enforcement by Franchisor of the covenants described above. Franchisee will pay all costs and expenses (including attorneys fees) incurred by Franchisor and Franchisee in connection with the enforcement of these covenants. Franchisee acknowledges that any violation of the covenants not to compete would result in irreparable injury to Franchisor for which no adequate remedy at law may be available and Franchisee accordingly consents to the issuance of an injunction prohibiting any conduct by Franchisee in violation of the terms of the covenants not to compete. Franchisee agrees that each of the foregoing covenants will be constructed as independent of any other covenant or provision. If all, parts or any portion of a covenant in the Franchise Agreement is held unreasonable or unenforceable by a court or agency having valid jurisdiction in an unappealed final decision to which Franchisor is a party, Franchisee expressly agrees to be bound by any lesser covenant subsumed within the terms of such covenant that imposes the maximum duty permitted by law, as if the resulting covenant were separately stated in and made a part of this item. Each of these covenants is a separate and independent covenant in each of the separate countries and states in the United States in which Franchisor transacts business. To the extent that any such covenant may be determined to be judicially unenforceable in any country or state, that covenant will not be affected with respect to any other country or state. Franchisee acknowledges that upon violation of any of these covenants, it will be difficult to determine the resulting damages to the Franchisor and, in addition to any other remedies it may have, Franchisor will be entitled to make application in a court of competent jurisdiction for temporary and permanent injunctive relief without the necessity of proving actual damages. When actual damages are tabulated, Franchisee agrees to pay those damages plus attorneys fees incurred by both Franchisee and Franchisor immediately. If these monies are not paid within thirty (30) days, they will at that time begin accruing interest at the rate of twelve percent (12%) per annum which Franchisee is also obligated to pay. If Franchisee is operating as a partnership, corporation, limited liability company or other legal entity, each partner, shareholder, member or other owner of Franchisee will execute and deliver in favor of Franchisor a non-compete covenant in form and substance satisfactory to Franchisor containing provisions substantially the same as those contained in this Section 3.20. - - - - - - - - - - It is very important that you find inexperienced and knowledgeable franchising attorney and you discussed this exact issue with them to protect your franchisee company. What about those women who never seem to remain single for more than three months? The 30 Second Scan - An Employer’s Perspective

By Carla Vaughan If you have been in a job-search for very long at all, you have most likely read that employers do not read resumes, they scan them. Do you think a 30-second scan is ridiculous? When you consider how important filling a vacant position must be to an employer, that isnt a very long amount of time, is it? Why wouldnt an employer want to read EVERY resume to make sure they were hiring the right person for the job? Surely there is no way to properly get a feel for someone in 30 seconds. Well, think about it from a hiring managers point of view. The day starts at 7:00am with a bang the phone rings, there are email messages to answer and a meeting with marketing at 8:00am to go over the recently vacated Brand Managers position. From there, a round of interviews for an opening in the executive suite for an Administrative Assistant have to be performed with little or no time to review the resumes prior to interviewing each candidate. Next thing you know, it is lunch time, but hey, there is no time for that since a meeting with Benefits Administrator is next on the schedule and the recent changes in the medical plan have caused a lot of headaches in trying to recruit new sales associates. After that shouting match, it is time to check the latest HR new hire reports to set up the next round of orientation meetings as they are supposed to take place every 2 weeks and it is already a week past that. A 2:30pm phone call to the HR assistant who handles the orientations leads to a dozen more phone calls to get the conference room scheduled as no one wants to give up their time slot for anyone else. It is nearly 4:00pm. A quick trip to the restroom ends up taking an hour as the recently hired Sales Director pauses to lash out about the medical benefit changes which were not a part of the original employment agreement. The final meeting of the day consists of all HR managers discussing, usually all at one time, the impending acquisition of a new company. Before driving home, a 4 inch stack of resumes are stuffed into a briefcase to be reviewed at home after the children are in bed. Now, does a 30-second scan seem a little more reasonable? Yes, filling vacant positions is important. It is extremely important. One of the most serious errors a hiring manager can make is bringing someone into the organization who is not qualified for the position they are hired for OR they do not fit with the corporate culture. Every new hire reflects on the hiring manager good or bad. Realistically, if time permitted, resumes WOULD be reviewed more thoroughly, but it simply isnt possible for most hiring managers. Something else that is important to point out is the fact that most job candidates make it pretty easy to go through that 30 second scan. There simply are not that many job seekers who take the time to ensure their resumes are error-free. It is truly easy to eliminate 50% or more of the resumes in that 30 second scan. If you want to master the job-search process, you have to make sure you make it past that 30 second scan. Proofread your resume again and again. Do not give the employer a reason to eliminate you right away. Once you are past that 30 second scan, your resume will likely get a better review. At that point, you will enter a whole new arena of resume issues (which will not be addressed at this time). Your goal is to get past the 30 second scan. Go proofread your resume! You can be a lawyer and be solving cases, figuring out creative ways to win the case. You can be an architect and use your mind to create projects. You can read books and use your mind to create pictures and connections and the movie in your head. You can do problem solving activities, like crossword puzzles or some card and board games, anything where you are creating new thoughts, new patterns of thinking, and different ways of looking at things. This is mental activity. Art is also a really good way to have mental activity. The process of creating abstract things also encourages new ways of thinking and patterns of thought. These new ways of thinking and being are stimulating your brain and nerves to grow and regenerate. Like the muscles in the body, if you dont use them, you lose them. So creatively using the mind helps us to grow and flourish from within. What is the best form of mental activity? Whatever it is you will actually do. And it can be different every day. By Jared Wash If you have tried continuously to lose weight and have failed, you must know that there are several simple but powerful factors that could have been holding you back. To start off I will mention a little basic knowledge here. Each pound of fat on our body has 3500 calories in it, so for each pound of fat you want to lose you must burn 3500 calories. That is burning an extra 500 calories a day for a week just to lose one pound of fat. It is recommend that losing 1-2 pounds of fat a week for weight loss but that mean you would have to burn an extra 1000 calories a day. This may sound like a lot but it can easily be achieved if you educated yourself, learn some weight loss tips, and stay away from these dead ends. One thing I notice a lot is when people seek no guide ness and usually decreasing their calorie intake dramatically in their diet. To them it makes sense that the more calories they limit the more fat they will lose. Wrong! If you decrease your calories too much it will cause your body in a starvation mode and force your body to store fat and burn muscle for energy. However, not all of us are able to perform regular exercise. Our time and energies are constrained by the responsibilities in our lives. This failure to exercise is completely understandable because many of us have perfectly good reasons why cant exercise. Two of the most common reasons that I have heard and experienced are: - I simply dont have enough time in the day to exercise, or - I have health challenges that prevent me from exercising. If you, or any of your friends, are using these reasons not to exercise, I am going to share with you, a piece of information that has allowed me and an exceptional few other people to exercise EVERY SINGLE DAY! Now Ive been running, biking, and lifting weights 2-6 times almost every week consistently for about 17 years, and I only discovered this strange technique just a few months ago, while listening to a lecture by the world class gymnast and author of Way of the Peaceful Warrior, Dan Millman. Dan said, the way all of us can exercise every single day is to wake up every morning, get out of bed, and do ONE jumping jack! Now, of course, it doesnt have to be a jumping jack. But then I realized, that the most important GOOD it does, is that is creates a certain mind set, a certain habit, a time dedicated every single day to bettering ourselves with exercise. And as our time, and energy, and ability allow, we can increase that one jumping jack, to 2 jumping jacks, or 10, or 20. Again, it doesnt matter WHAT exercise you choose, just be sure to do it every single day, then INCREASE it when you can. Now because of this information, the next time someone asks you if you perform regular exercise, you can say, As a matter of fact! I exercise every single day! Now I would like to talk about the 2nd fitness factor Eating healthy foods and supplementing if necessary in diets. Now materialistically speaking You and I have been given the greatest gift in the world! We have been given a body with which our souls can use to consciously experience life! And if we are lucky enough to have a fully functioning brain. And if we lucky enough to be able to decide HOW we want to treat our brain and our body Why would we want to tarnish this incredible gift by feeding it full of foods that accelerate our bodys degradation? Foods that accelerate our mental decline. Well thats exactly what we do, when we eat foods with little or no nutritional value, and foods composed primarily of refined sugars. Our body is a very complex biological mechanism, and if we want to give it the nutrition it needs to function with absolute optimal performance, we need to seek the advice of experts. We need to talk to or read books written by appropriately trained physicians or nutritionists. Then we need to get a second option, and talk to another expert or read another book. Then get a 3rd opinion and continue to learn how feed our body, and how to care for it properly. Now, you dont have to wait until you talk to a physician or read a book to start eating healthy. You can simply use your COMMON SENSE to start eating healthy today!! Eat more vegetables, eat more nuts and whole grains, eat more fresh fruit, and if mixed with exercise, eat more meat, fish, and real cheese. Not processed cheese foods, like cheese-wiz, or American cheese in those little plastic wrappers, those are actually quite bad for you. Now if you decide to eat healthy, and exercise regularly, keep in mind that fitness can only be achieved if you add the final ingredient, the 3rd factor, persistence over time. And, if you persist, I promise you that, in time: You will be able to look in mirror and feel proud. You will be able look back at your accomplishment and dedication and feel proud. And with the additional clarity and focus you have gained from the additional oxygen and circulation that you have given to your brain, you will be able to strategically share this information to help your children, and to help your family, and to help your friends to feel just as proud as you will. This in one of the things that annoys me the most is hearing people say they have tried everything and they want to lose weight so bad but they do nothing or fail because they did it wrong. Follow the 10 tips below to make sure you still look superb but dont harm the earth at the same time. 1. Go natural. No we dont mean no make up at all. You will naturally look better by getting a good nights sleep and you wont need as much make up as a consequence. 2. Recycle. Bottles, jars and tubes can all be recycled. No change to your beauty routine but the benefits to mother earth are there for all to see. A really simple one. 3. Spring Clean. Think of all the half used bottles and jars of cream you have. I have not met anybody like that! “If I could only get rid of my big belly”! “Oh, I wish my thighs were slimmer”! Does it sound familiar? Even skinny people are often unhappy with the excess fat in some areas of their body. We’ve all seen those skinny men with huge bellies! This common problem is accompanied by a widespread belief that you can lose the fat on a “problem area” by exercising that particular area. Some people do hundreds of crunches in attempts to flatten their stomachs, others buy the “miracle” ab gadgets and bulky “hip slimming” machines from TV. The belief that you can lose fat on a specific part of your body by exercising that area is a myth! All kinds of weight loss belts, pants and other clothing will make you sweat, thereby causing some loss of water weight which is mistaken by most people for fat loss. But they will not help you lose even one gram of the actual fat! There is no way to tell your body where exactly it should lose its fat. Each person’s body has its own unique shape and fat distribution pattern. The places where the fat goes first are, unfortunately, where it comes off last. So the only way to lose that fat is by losing weight in general. The only healthy permanent way to lose weight is by making lifestyle changes to incorporate healthy eating and increased activity.
